Healthcare Service Company

Valuation For A Partner Buy-Out

We were asked to provide a limited valuation report on a business using the Fair Market Value as the standard of value for a healthcare service company with $4 million of revenue that was considering a sale of the business. The company’s key employees/practitioners were interested in acquiring the founder’s remaining stock position, but they had a disagreement on the company’s value.

Aspen Team reviewed the company, its products, and services, past and expected earnings stream, industry trends and delivered an opinion of value. The client was able to use the valuation to resolve pricing issues and entered into an agreement to purchase the remaining shares. The purchasers were able to use our appraisal to obtain financing from a bank for the purchase.

Construction Material Distributing Company

Valuation For A Sale Of Business

We were asked to provide a business valuation using a Fair Market Value as the standard of value for a construction material distributor/wholesaler for a proposed sale of the business. The company was approached by a large competitor who made an offer for the company and the client wanted an opinion of value in order to consider and respond to the unsolicited offer to acquire the company.

We performed a valuation for the client who needed confirmation on the value of the company. Our opinion of value was 14% higher than the offering price, which was almost $1 million more. The client was able to make a counter-offer with better information.

Technology-based Service Company

Valuation To Build Added Value

Aspen was hired to perform a business valuation to determine the fair market value of the company. The client wanted to understand the value the company had created to date.

We performed the valuation and provided an opinion of value. We went over the valuation with the client, discussing in detail the various value components and how changes to the company’s operations can drive further value. The owners were seeking a sale of the business in two to four years and were able to concentrate on maximizing the enterprise value based on our detailed valuation.

HVAC Contracting Company

Valuation For Share Restructuring

We were asked to prepare a valuation report of an HVAC service company in connection with a share reorganization for tax planning purposes. The transfer or sale of shares between related shareholders and companies are required to be conducted at the fair market value of the shares. Our report was used for tax filing and compliance requirement.

We performed the valuation to determine the fair market value of the shares. The valuation received no audit or review issues from the tax authority.

Medical Product Group of Companies

Valuation For Purchase Price Allocation

We were asked to prepare the purchase price allocation valuation of a group of medical product companies for financial reporting compliance.  The parent company is publicly traded on the Toronto Stock Exchange and is required to report their acquisitions according to applicable accounting standards.

We performed the valuations for the purchase price allocation and subsequent goodwill impairment analyses to assist the client with their quarterly and annual reporting requirements.
